Company Formation

Set up a PT or CV without getting lost in the process

We help you from choosing the business form and name and preparing the deed, all the way to your company being legally approved and holding an NIB (business identification number).

Service options

PT (limited liability company)

At least two founders, with a notarial deed and approval from the Ministry of Law (Kementerian Hukum). A good fit if you have several shareholders or plan to bring in investors.

Sole-founder PT (PT Perorangan)

Set up by one Indonesian citizen through a statement of establishment, with no notarial deed. Only for micro and small businesses.

CV (limited partnership)

A partnership with active and silent partners. A simple option for family businesses or small partnerships.

PT PMA (foreign-owned PT)

A PT with foreign shareholding. Additional rules apply on which business sectors are open and on the amount of capital.

What we handle

  • Advice on business form, shareholding structure, and management
  • Company name availability check
  • Choosing the KBLI (Indonesian business classification) codes that match the activities you actually run
  • Drafting the deed of establishment with a notary, or the statement of establishment for a Sole-founder PT (PT Perorangan)
  • Legal entity approval from the Ministry of Law
  • Corporate NPWP (tax ID) and NIB through OSS (the online business licensing system)

What you need to prepare

  • KTP (ID card) and NPWP of all founders, directors, and commissioners
  • Three company name options
  • Business address (domicile)
  • A description of your business activities, to determine the KBLI codes
  • Planned authorized capital, paid-up capital, and share allocation
  • Composition of the board of directors and board of commissioners

How the process works

  1. Discuss the structure

Together we decide on the business form, name, address, line of business, capital, and management.

  2. Check the name and KBLI

We make sure the name is available and the KBLI codes match your business activities.

  3. Deed and signing

The deed is drafted and signed before a notary. A Sole-founder PT only needs a statement of establishment.

  4. Approval

The company is registered and approved through the Ministry of Law's system.

  5. NPWP and NIB

We register the corporate NPWP, then the NIB and risk-based licenses in OSS according to your KBLI codes.

Good to know

  • A legally established company is not automatically allowed to carry out every activity right away. Business licenses still depend on your KBLI codes and their risk level.
  • A married couple without a prenuptial agreement on separate property counts as a single party, so a PT still needs another shareholder.

Questions about Company Formation

How long does company formation take?

It depends on how complete your data is, signing schedules, and government system queues. We include an estimate for each stage in our quote after the consultation.

Can it be done online?

Consultation, sending documents, and tracking progress can all be done via WhatsApp and email. Signing the deed follows the notary's requirements.

What is the difference between the deed of establishment and the approval decree?

The deed is made by a notary and contains the articles of association. The approval decree (SK) is issued by the Ministry of Law as proof that the PT is a legal entity.

Can I use my home address?

Yes, as long as the zoning of that address fits your business activities. If it doesn't, a virtual office can be an option.
